Effective June 18, 2026. These terms govern your use of growwithryals.com and the services provided by Ryals Management Services LLC.
By accessing or using growwithryals.com (the "Site") or any service provided by Ryals Management Services LLC ("RMS," "we," "our," or "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site or our services.
RMS provides business formation, nonprofit development, tax preparation, ServSafe training, administrative support, and consulting services to entrepreneurs, nonprofits, and small business owners. Specific deliverables, fees, and timelines for any engagement are described in a separate written agreement or invoice between RMS and the client.
Information on the Site — including blog posts, resources, checklists, and service descriptions — is provided for general informational purposes only and does not constitute legal, tax, accounting, or financial advice. Specific advice is provided only as part of a paid engagement defined in writing. Tax preparation services are performed by a paid preparer and are not a substitute for advice from a licensed attorney or CPA where one is required.
You must be at least 18 years old and legally able to enter into a binding contract to use the Site or purchase services.
If you create an account on the Site (for example, a client portal), you are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.
Fees and payment schedules for engagements are set out in the applicable invoice or service agreement. All fees are non-refundable once work has begun on your engagement. Government filing fees, state fees, and any third-party costs are pass-through and non-refundable once submitted, regardless of the outcome of the filing.
Consulting, business formation, nonprofit development, ServSafe training, and administrative support are available virtually nationwide. Tax preparation services are limited to clients located in the United States. If you are located outside the United States and request tax preparation, we reserve the right to decline the engagement.
You agree to provide accurate, complete, and timely information needed for us to perform services. We are not responsible for delays, errors, penalties, or rejected filings caused by inaccurate, incomplete, or late information from you or third parties.

All content on the Site — including text, graphics, logos, downloadable resources, and the "Ryals Management Services" name — is owned by RMS or its licensors and is protected by U.S. and international intellectual property laws. You may view and print content for personal, non-commercial use. Any other use requires our prior written permission.
The Site may link to or integrate with third-party services (e.g., scheduling, email delivery, government filing portals). We are not responsible for the content, accuracy, privacy practices, or availability of third-party services.
The Site and the content on it are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that filings, registrations, or applications submitted by or through us will be approved by any government agency.
To the fullest extent permitted by law, RMS and its members, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the Site or our services. Our total liability for any claim arising out of or relating to the Site or a service will not exceed the amount you paid us for the service giving rise to the claim in the 12 months before the claim arose.
You agree to indemnify and hold RMS harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the services will be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use of the Site after changes constitutes acceptance of the updated Terms.
